1. Definitions
In these Terms & Conditions, the following terms carry the meanings set out below:
- "Orenda Works", "we", "us", "our" — Orenda Works, an advisory practice operating at Level 13, Menara Symphony, Jalan Prof Khoo Kay Kim, 46050 Petaling Jaya, Selangor, Malaysia.
- "You" / "User" / "Client" — any individual or organisation that visits our website, submits an enquiry, or enters into an advisory engagement with us.
- "Services" — the three advisory offerings described on our website: People Practices Review, Team Operations Engagement, and Workplace Culture Programme.
- "Engagement" — a specific, agreed advisory project between you and Orenda Works, confirmed in writing.
- "Deliverables" — any written documents, templates, guides, or materials produced by Orenda Works under the terms of an Engagement.
- "Website" — the website accessible at orenday.blog and all pages associated with it.
- "Agreement" — these Terms & Conditions together with any written engagement confirmation or proposal agreed between the parties.
2. Acceptance of Terms
By accessing our website or submitting an enquiry, you confirm that you have read, understood, and agree to be bound by these Terms & Conditions. If you do not agree, please do not use our website or contact us regarding our services.
Our services are intended for organisations and individuals aged 18 and over with the legal capacity to enter into a binding agreement. By submitting an enquiry on behalf of an organisation, you confirm that you have the authority to do so.
3. Services Described
Orenda Works offers non-regulated advisory support to organisations seeking to improve their people operations and workplace culture. Our three services are:
- People Practices Review (RM 590): A working session and short suggestions note covering operational habits such as onboarding, communication, and recognition routines.
- Team Operations Engagement (RM 2,400): A multi-week engagement covering process mapping, template development, and a handover guide to help formalise how your team operates day to day.
- Workplace Culture Programme (RM 4,300): A wider engagement including workshops, a norms guide, and a feedback toolkit, tailored to an organisation's own values and working environment.
Our advisory work is informational and operational in nature. It does not constitute professional legal, financial, psychological, or medical advice. We do not hold ourselves out as licensed practitioners in any regulated field.
Services are available to organisations operating in Malaysia and, subject to agreement, internationally. We do not restrict enquiries by geography, but all engagements are conducted in English.
4. Enquiries & Engagement Process
Submitting a contact form or making an enquiry does not create a binding contract. An Engagement commences only once both parties have agreed in writing to the scope, deliverables, and pricing of a specific project.
We may decline to accept an enquiry or proceed with an engagement at our discretion, without obligation to provide reasons.
Any estimates of timelines or outcomes shared during initial conversations are indicative only and do not form part of a binding commitment.
5. User Responsibilities
When using our website or engaging with us, you agree to:
- Provide accurate and truthful information in all communications and forms.
- Use our website and services for lawful purposes only.
- Not attempt to reverse-engineer, scrape, or reproduce any part of our website or deliverables without written permission.
- Not submit false, misleading, or defamatory content through our contact form or any other channel.
- Not use our website or services to facilitate any activity that contravenes Malaysian law or the laws applicable to you.
In an advisory engagement, you are responsible for the accuracy of information you share with us. The quality of our deliverables depends in part on the accuracy of context you provide.
6. Intellectual Property
All content on our website — including text, layout, design, and graphics — is the property of Orenda Works and is protected under applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from our website content without written permission.
Deliverables produced under an Engagement are provided for your internal use only. Upon full payment, you receive a limited, non-exclusive licence to use those deliverables within your organisation. You may not resell, sublicense, or publish them as your own work.
Any general methodologies, frameworks, or approaches developed by Orenda Works remain our intellectual property, even where applied within your Engagement.
7. Payment Terms
All prices are quoted in Malaysian Ringgit (RM) and are exclusive of any applicable taxes unless stated otherwise. Pricing for each service is published on our website and confirmed in writing at the start of an Engagement.
Payment terms will be set out in the written engagement confirmation. Unless otherwise agreed, a deposit may be required before work commences, with the balance payable on completion.
Payments that are overdue by more than 14 days may result in a pause to active work until payment is received.
If you wish to request a change to the agreed scope of work, additional fees may apply. Any changes to scope must be agreed in writing before the additional work begins.
Regarding cancellations: if you cancel before work has commenced, your deposit may be refunded in part or in full at our discretion. If work is underway, fees for completed portions of the Engagement remain payable.
8. Confidentiality
Orenda Works treats all information shared with us during an enquiry or engagement as confidential. We will not disclose your organisational information, team details, or any materials you share with us to third parties, except where required by law or where you have given written permission.
We may reference the nature of our engagements in general terms (for example, the industry or service type) for our own marketing or case study purposes, but only with your prior written consent.
In turn, you agree to treat any proprietary methodologies or materials we share with you during an engagement as confidential and not to disclose them to external parties without our written agreement.
9. Disclaimers
Our website and advisory services are provided on an "as available" basis. While we take care to keep our website accurate and up to date, we make no warranties — express or implied — regarding the completeness, accuracy, or fitness for purpose of any content on our website.
Our advisory work reflects our experience and perspective. It does not constitute a guarantee of any particular operational, cultural, or business outcome. Results will depend on a range of factors within your organisation's control.
We are not responsible for decisions made by you or your organisation based on our advisory input. Final decisions remain with you at all times.
10. Limitation of Liability
To the fullest extent permitted by Malaysian law, Orenda Works' total liability to you in connection with any Engagement shall not exceed the fees paid by you for that specific Engagement.
We are not liable for any indirect, consequential, special, or incidental loss arising from your use of our website or services, including loss of business, loss of data, or loss of opportunity.
Nothing in these Terms limits our liability for fraud, wilful misconduct, or any liability that cannot be excluded by law.
11. Indemnification
You agree to indemnify and hold harmless Orenda Works, its advisors, and representatives from any claims, losses, costs, or expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of our website, or any inaccurate information you provided to us during an engagement.
12. Termination
Either party may terminate an Engagement by giving written notice if the other party materially breaches the agreed terms and fails to remedy that breach within 10 business days of written notice.
Orenda Works may also terminate an engagement if circumstances arise that make continued work impractical or that compromise our professional standards.
Upon termination, payment is due for all work completed up to the date of termination. Clauses relating to confidentiality, intellectual property, and limitation of liability survive termination.
13. Dispute Resolution
These Terms are governed by the laws of Malaysia. Any dispute arising from or in connection with these Terms or an Engagement shall first be addressed through good-faith discussion between the parties.
If a dispute cannot be resolved informally within 30 days of written notice, either party may refer the matter to mediation through the Malaysian Mediation Centre or an agreed mediator.
If mediation is unsuccessful, disputes shall be subject to the exclusive jurisdiction of the courts of Malaysia.
14. General Provisions
- Entire Agreement: These Terms, together with any written engagement confirmation, constitute the entire agreement between the parties and supersede any prior discussions or understandings.
- Severability: If any clause of these Terms is found to be unenforceable, the remaining clauses continue in full force.
- Waiver: Our failure to enforce any provision does not constitute a waiver of our right to enforce it at a later date.
- Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights in connection with a sale or restructuring of our business.
- Notices: Formal notices under these Terms should be sent by email to [email protected] or by post to our registered address below.
15. Changes to These Terms
We may update these Terms & Conditions from time to time. When we do, the "Last Updated" date above will be revised. For material changes, we will provide notice to active clients. Continued use of our website after the effective date of any update constitutes your acceptance of the revised terms.
